 Welcome to Maven Academies.

Please read these Terms of Service (“Terms of Service”) and the Privacy Policy before registering on the Mavenacademies.com website or using any part of the Platform (the “Platform” means all content and pages within the Maven Academies website, or within the Maven Academies applications, or both), including accessing any of the Academy Materials, Courses, Chat Rooms, or other online services. These Terms and the Privacy Policy are agreements (which may hereinafter be referred to collectively as “Agreements”) between you and Maven Academies. You accept and agree by using the Platform to be legally bound by the Agreements, whether or not you are a registered user of the Platform.

Maven Academies reserves the right to modify these Terms at any time without prior notice to you. Changes to these Terms are effective immediately upon posting on this page or elsewhere on the Site. Your access to the Platform after any changes are made constitutes your acceptance of the revised Terms and all changes contained therein.

About Maven Academies:

Maven Academies offers online courses, authored by instructors, developers and subject matter experts (collectively referred to as “Experts” and individually as “Expert”), which include opportunities for instructor-student and student-student interaction, individual assessment of student work and a certificate of completion (“Courses”) for students who demonstrate mastery of the subject matter.

Online Conduct Rules:

You agree that you are fully responsible for your use of the Platform and the materials posted under your username, which shall include all content submitted, posted or distributed on the Platform by you or other users of the Site, including, but not limited to, all posts, comments, questions, and videos. You also agree that your use of the Platform will be in compliance with all applicable local, regional and international laws, rules and regulations, including copyright laws, and any laws regarding the transmission of technical data exported from your country of residence. You hereby undertake, as a condition of your use of the services provided by Maven Academies through the Platform, that you will not use the Platform in any manner intended to abuse, disable, impede or overburden Maven Academies server or Maven Academies network(s) connected to any of its servers or interfere with any third party and the enjoyment of the Platform. You may not attempt to gain unauthorized access to the Site, other accounts, computer systems or networks connected to any Maven Academies servers through hacking, password cracking or any other means. You may not obtain or attempt to obtain any materials or information stored on the Platform, or any of its servers or computers connected to it through any means not intentionally made available through the Platform.

The following list shows the materials that are strictly prohibited from being circulated on the platform:

• Content that defames, harasses or threatens others

• Content that discusses illegal activities

• Content that violates the intellectual property of a third party, including but not limited to, copyrights or trademarks

• Content that is profane, pornographic, obscene, indecent or unauthorized

• Advertising or any form of commercial solicitation

• Content related to political and partisan activities

• Viruses, Trojan horses, worms, time bombs or corrupted files, malware, spyware or any other similar programs that may damage the operation of a computer or other property

• Content that contains intentionally inaccurate information or that is posted with the intent to mislead others.

Furthermore, you agree not to attempt to collect information or download any content from the platform, including but not limited to the system’s user list or directory, online study materials, or user postings or personal information. You also agree not to misrepresent or attempt to misrepresent your identity while using the Platform. Any violation of the terms of the prohibitions list mentioned above entitles Maven Academies to terminate your use, access and/or participation in the Site without prior notice.

User Accounts and Authorizations

In order to fully participate in the activities and services offered by Maven Academies on the Platform, you must provide us with your name, email address and user password to create a new user account (referred to as a “User Account”). You agree that you will never disclose or share your access to the Platform or share your User Account information with any third party for any reason. During the creation of your User Account, you may be asked to enter additional information. You declare that all information you provide is accurate and current. You also agree to maintain and update your information to keep it accurate and current.

We care about the confidentiality and security of your personal information. Please see our Privacy Policy for more information about what information Maven Academies may collect about you and how Maven Academies uses that information. By accessing the Platform, you consent to the collection and use of your information by Maven Academies.

Your right to use the content on the platform

All contents of the Maven Academies platform are private property and may not be disposed of in any way by any user or third party except with prior written consent.

All texts, exams, videos, images and other educational materials provided with the courses offered on this platform are for your personal use and related to those courses only, unless otherwise expressly stated within the platform.

The use of some reference documents, digital textbooks, articles and other information on the platform is subject to permission from third parties, as the use of this information is subject to certain rules and conditions that will be published along with this information. You hereby undertake, by using this platform, to abide by all of these rules and conditions.

You also agree to maintain all copyright and other notices related to any content you obtain through the platform. All rights to this platform and its content are reserved by Maven Academies Company or under a license granted to Maven Academies Company, unless expressly granted to the company.

User Postings

User Postings Representations and Warranties: Notwithstanding the list of materials that are strictly prohibited from being circulated on the Platform as set forth above, in connection with the submission or distribution of your User Postings, you affirm, represent and warrant that (a) you have the necessary rights, licenses, consents and/or permissions to republish your User Postings on the Site and to permit Maven Academies and its users to reproduce, modify, publish and otherwise use and distribute your User Postings in a manner consistent with the licenses granted to you under these Terms, and (b) you will not infringe or violate the rights of any third party by submitting your User Postings or using the licenses granted hereunder. You, and not Maven Academies, are solely responsible for your User Postings and the consequences of sharing them with others or publishing them on the Platform. Grant of License to Maven Academies: By submitting or distributing your User Postings, you grant Maven Academies a worldwide, non-exclusive, transferable, assignable, sub-licensable, fully paid-up, royalty-free, perpetual, irrevocable right and license to host, transmit, display, perform, reproduce, modify, distribute, redistribute, relicense and otherwise use, make available and exploit your User Postings, in whole or in part, in any form and in any media format, through any media channels (now known or hereafter established). Grant of License to Users: By submitting or distributing your User Postings, you grant all users of the Platform (“User(s)”) a non-exclusive license to access and use your User Postings in connection with their use of the Platform and for their own personal purposes.

Certificates:

Maven Academies may provide a Certificate of Course Completion or other acknowledgement (referred to as a “Certificate”) on the Platform to students who, in its sole discretion, have demonstrated mastery of the relevant course material. Certificates will be issued by Maven Academies. The decision as to whether a Certificate will be awarded to a student who has completed a Course will be at the sole discretion of the Platform. Maven Academies and/or any of the institutions offering Courses on the Platform may choose, in its sole discretion, not to provide a Certificate in respect of certain Courses.

No Further Enrollment: While completing a Course through the Maven Academies website, you will not be able to apply for admission or enroll in any degree program at any of the institutions offering the Courses as a result of enrolling in or completing a Course offered by such institutions through Maven Academies on the Platform. You may not use any of the Institution’s resources outside of the Courses offered on the Platform, and you will not be eligible for any privileges or benefits offered to students enrolled in degree programs at the Institutions.

Trademarks

Use of Maven Academies, and other Participating Institutions’ names and trademarks:

The Maven Academies name and logo are trademarks of Maven Academies. Likewise, the names, logos, and seals of other Participating Institutions are trademarks owned by the relevant Institution. You may not use any of Maven Academies’ trademarks or any of the Institutions’ trademarks, or anything similar to any of the aforementioned, without the prior written consent of the relevant trademark owner. You may not use any of the Institutions’ trademarks, or anything similar to any of the aforementioned, for promotional purposes, or in any manner that may, intentionally or unintentionally, claim or imply, or appear or give the impression of an association or endorsement by such Institutions, at the sole discretion of the relevant Institution.

None of the trademarks of Maven Academies or other Participating Institutions that appear on the Platform or in or through the Services available on or through the Platform are owned by Maven Academies or other Participating Institutions, and, if any, are the exclusive property of their respective owners.

Nothing contained on this Platform should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark displayed on the Platform without the written permission of the relevant trademark owner.

Disclaimer of Warranty / Limitation of Liability

The Platform and any information, content or services available on or through the Platform are provided “as is” and “as available” without warranty of any kind (express, implied or otherwise), including, but not limited to, any implied warranties of merchantability, fitness for a particular purpose and non-infringement, except for similar warranties which may not be waived under applicable law.

Maven Academies does not warrant that the Platform will operate uninterrupted or error-free, that the Platform is free of viruses or other harmful components, or that the Courses or Content provided will meet your needs or expectations. Neither Maven Academies nor any of its participants warrant the accuracy, completeness, timeliness or quality of the Platform, the Courses or Content or the continued availability of any Courses or any particular Content.

The use of this Platform, and the content and services obtained from or through the Platform, is at your own risk. Your access to or downloading of any information, materials or data available through the Platform or any referenced sites is at your own risk, and you will be solely responsible for any damage to your property (including your computer system) or loss of data that results from the download or use of such materials or data, unless otherwise stated in the Maven Academies Privacy Policy.

User Submissions Disclaimer: You understand that in your use of the Platform you will be exposed to User Submissions from a variety of sources and that Maven Academies or any of its contributors are not responsible for the accuracy, usefulness, reliability or intellectual property rights associated with such User Submissions. You further understand and acknowledge that you may be exposed to User Postings that are inaccurate, offensive, defamatory, indecent or otherwise objectionable and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you may have or may have against Maven Academies or any Maven Academies Participants with respect thereto. Maven Academies and any Maven Academies Participants do not endorse any User Postings or any opinion, recommendation or advice expressed within the Platform. Maven Academies and any Maven Academies Participant have no obligation to monitor any User Postings or any communications with other Members within the Platform. However, Maven Academies reserves the right to review User Postings and to act in its sole discretion to edit or remove, in whole or in part, any User Postings at any time and for any reason, or to permit Maven Academies Participant to do so at any time and for any reason. Not only that, Maven Academies may investigate allegations that a User Post does not comply with Maven Academies Terms of Service upon receipt of notice from a User or Content Owner and determine, in its sole discretion, whether to edit or remove, in whole or in part, User Posts that do not comply with its Terms at any time it chooses and without prior notice.

Links to Other Sites: The Platform may contain links to other sites that are maintained and operated by others. Neither Maven Academies nor any Maven Academies Participant is responsible for screening, approving, reviewing or endorsing the content or use of any products or services that may be offered on such other sites. If you decide to access linked third-party sites, you do so at your own risk.

You agree that, to the fullest extent permitted by applicable law, Maven Academies or any Maven Academies Participant shall not be liable for any loss or damage, whether real or logical, arising out of or in connection with these Terms of Service, your (or any third party’s) use or inability to use the Platform, the content placements on the Platform, or your reliance on information obtained from or through the Platform, whether your claim is based on contract, tort, statute or otherwise.

In particular, to the fullest extent permitted by applicable law, Maven academies or any of its participants shall not be liable for any direct, indirect, punitive, special, exemplary or incidental damages, whether foreseeable or unforeseeable, whether Maven academies or any of its participants has been negligent or attorney’s fees (including, without limitation, claims for defamation, errors, lost profits, loss of data or interruption in the availability of data).

Indemnification

You agree to defend and hold harmless Maven Academies, Maven Academies Participants, and their respective affiliates, subsidiaries, officers, instructors, experts, students, colleagues, directors, agents and employees from and against any third party claims, actions or demands arising out of, resulting from, or in any way related to your use of the Platform, including any liability or expense arising from any and all claims, losses, damages, suits, judgments, litigation costs (actual and consequential) and attorneys’ fees, of every kind and nature. Maven Academies or any Maven Academies Participants shall, in such event and at its sole discretion, provide you with written or oral notice of such claim, action or proceeding.

Third Party Service Providers

Maven Academies may use certain services provided by third party providers. By agreeing to these Terms of Service, you also agree to the policies and terms of such third-party service providers.

Miscellaneous

Termination Rights; or disruption of courses and content: You agree that Maven Academies may terminate your use of or participation in the Site in its sole discretion for any reason or no reason. It is Maven Academies’ policy to terminate users of the Platform who are repeat copyright infringers, in appropriate circumstances. Maven Academies and Maven Academies’ Participants reserve the right to cancel, delay, reschedule, or change the structure of any Course offered through Maven Academies or to discontinue providing any or all of the Platform Content or related services at any time in its sole discretion, and you agree that Maven Academies or any Maven Academies’ Participants will not be liable to you for any such action. You may terminate your subscription to the Platform at any time if you no longer wish to do so. Your rights under this Agreement will terminate upon termination of your right to use the Platform, but the other provisions of these Terms of Service will continue to apply.

Entire Agreement: These Terms, and the Privacy Policy constitute the entire agreement between you and Maven Academies regarding your use of the Platform and supersede any prior agreements between you and Maven Academies regarding your use of the Platform.

Waiver and Severability of Terms of Service: The failure of Maven Academies to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. If a court of competent jurisdiction finds a provision of these Terms of Service to be invalid, and despite the parties to the Terms of Service agreeing that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, the other provisions of these Terms shall remain in full force and effect.

Choice of Law/Forum: You agree that these Terms and any claim or dispute arising out of or relating to them, or any content or service obtained from or through the Site shall be governed by the laws of the Arab Republic of Egypt. You agree that all such claims and disputes should be heard and resolved in the courts of Cairo. You must also acknowledge the jurisdiction of the said personal status courts applicable to you for this purpose and waive and agree not to claim any objection to such proceedings in the said courts. (including any defense or objection of lack of proper jurisdiction, venue or inconvenience in the court).
